These Terms of Use (hereinafter referred to as "these Terms") govern the conditions for the use of information (hereinafter referred to as "Content") provided by truestar Co., Ltd. (hereinafter referred to as "the Company") through the data-driven service "Prepper Open Data Bank" (hereinafter referred to as "PODB") between users of such Content (hereinafter referred to as "Users") and the Company. By using PODB, you are deemed to have agreed to these Terms.
About PODB Plans
The Company offers multiple PODB plans (free and paid versions) to Users based on functionality and usage conditions.
Application
By downloading or using the Content (hereinafter referred to as "Download, etc."),the person who performed the Download, etc. shall be deemed to have agreed to theseTerms, and a usage agreement (hereinafter referred to as "this Agreement") containing the terms of these Terms shall be concluded. Note that if an individual belonging to a corporation or other organization applies for registration on behalf of such organization, such individual shall be deemed to have the proper authority to apply on behalf of such organization.
Use
1 Subject to this Agreement, users may freely use the content for any purpose, including commercial use, such as reproduction, public transmission, translation, adaptation, and other derivative works. However, we may prohibit secondary use of certain content on a case-by-case basis. In such cases, the terms and conditions for the use of such content shall be specified at the time of provision.
2 Users agree that when using the paid version, we may collect information about users, including their customer attributes and other information (hereinafter referred to as "User Information"), and that we may provide such User Information to data providers for the purpose of obtaining the original data from them. Note that the information provided by us does not include "personal information" as defined in Article 2 of the Personal Information Protection Act.
Links
1 When using the free version, links to PODB are generally permitted. However, this does not apply if there are notes regarding restrictions on links or other conditions. Additionally, we may refuse links in the following cases:
(1) If the content of the linking site is deemed to violate public order and morality
(2) When the content of the linking site is deemed to violate laws, regulations,
or other rules, or is deemed to contain content that may violate such laws, regulations, or other rules
2 When setting up a link, please clearly indicate that it is a link to PODB (no permission or notification is required). When setting up a link, please do not configure it in a way that embeds PODB within another website.
Payment
Users of the paid version shall pay the fees using the method specified separately by our company.
Refunds
If PODB experiences a major defect due to our fault, users may request the reprovision of content or a refund of the payment. However, we will not refund under any circumstances if the defect is not due to our fault.
Intellectual Property Rights
1 All intellectual property rights (including patent rights, utility model rights, trademark rights, design rights, copyrights, and other intellectual property rights, including the right to obtain such rights or to file applications for registration thereof) related to PODB (hereinafter referred to as "Intellectual Property Rights") belong to our company or third parties who have granted permission to our company.
2 Except as expressly provided in this Agreement, all intellectual property rights and other rights and permissions related to any content (including text, images, videos, audio, programs, etc.) provided to users in connection with this Agreement shall belong to us or third parties who have granted us permission.
3 Some content may be subject to intellectual property rights held by third parties (meaning any party other than us or third parties authorized by us. The same applies throughout this section). For content subject to intellectual property rights held by third parties or content subject to other rights (e.g., portrait rights or publicity rights in photographs) held by third parties, users must obtain prior authorization from the relevant third party at their own responsibility, unless such rights have been explicitly cleared.
4 Some content may directly or indirectly indicate or imply that a third party holds rights through source citations or other means, but there may also be cases where the specific parts held by a third party are not clearly identified or disclosed. Users must confirm this at their own responsibility before use.
5 For content obtained through API (Application Programming Interface) integration with external databases, etc., users must comply with the usage terms of the content provider.
Prohibited Acts by Users
Users must not engage in the following acts when using PODB:
(1) Acts in violation of these Terms of Use
(2)Acts that violate laws and regulations, or acts that lead to criminal activities
(3)Fraudulent or threatening acts against us or third parties
(4)Acts contrary to public order and morality
(5)Acts related to antisocial forces or providing benefits to antisocial forces
(6)Acts that infringe upon intellectual property rights, publicity rights, privacy,
defamation, or other rights or interests of us or third parties
(7)Unauthorized access to or attempted access to our network or systems
(8)Impersonation, falsely representing one's relationship with another person or organization,
or concealing or attempting to conceal one's identity
(9)Acts that cause harm or damage to us or third parties
(10)Selling or publishing information obtained through the content, except as specifically provided
in these Terms of Use or as otherwise permitted by us
(11)Acts that interfere with the operation of this service, damage our reputation, or pose a risk of doing so
(12)Modifying, deleting, recompiling, reconstructing, or reverse engineering programs related
to PODB or our website
(13)Any other acts that we deem inappropriate
Disclaimer
1 We shall not be liable for any acts performed by users using PODB (including, but not limited to, the use of information obtained by editing or processing data).
2 We shall not be liable for the completeness, accuracy, applicability, or usefulness of any content provided by us or any data provided by third parties, including but not limited to the content available at.
3 We shall not be liable for any damages incurred by users as a result of using PODB (including damages arising from disputes with third parties) or for any damages incurred by users or third parties as a result of being unable
to use PODB.
4 When using PODB, users shall do so at their own risk. In the event of any claims, demands, or other issues arising from such use, users shall resolve them on their own, and we shall be held harmless from any liability.
5 We shall not be liable for any damages arising from the user's computer, network, software, or other environmental factors.
6 PODB may be modified, transferred, or deleted without prior notice. We shall not be liable for any damages incurred as a result of such modifications, transfers, or deletions.
7 We shall not be liable for any damages to computers, communication lines, software, or other equipment caused by downloading from PODB or third-party websites, or by computer virus infections, or any other similar incidents.
8 If any costs (including but not limited to compensation payments) are incurred by us in connection with complaints or claims arising from or related to a user's violation of these Terms of Use or infringement of third-party rights, the user shall promptly reimburse us for such costs.
9 PODB may contain errors, programming mistakes, bugs, or other defects. However,
we provide PODB "as is" and shall not be liable for any such defects in PODB.
Suspension of PODB Provision
1 We may suspend the provision of all or part of PODB in the following cases:
(1) When regular or emergency maintenance or inspection of hardware, software,
communication devices, or other related equipment or systems related to PODB is required
(2) When the provision of this service becomes difficult due to computer or communication line failures,
operational errors, excessive access concentration, unauthorized access, hacking
or other unforeseen factors
(3) Security issues related to PODB arise
(4) In the event of natural disasters, wars, threats of war, blockades, trade embargoes,
revolutions, riots, epidemics, or other infectious diseases, destruction or damage
to materials or facilities, fires, typhoons, earthquakes, floods, or other circumstances
beyond our control that make it difficult to provide PODB
(5) If the operation of PODB becomes difficult due to laws, regulations, or measures based on
such laws or regulations
(6) In any other circumstances deemed necessary by us for reasons equivalent to the foregoing
2 Even if any measures taken by us pursuant to the preceding paragraph result in damage to users, we shall not be liable in any way.
Suspension of Service
1 If we determine that a user falls under any of the following categories, we may, without prior notice, prohibit such user from accessing PODB or delete all or part of the information provided by such user to us in connection with PODB (hereinafter collectively referred to as "Suspension of Use").
(1) Violation of any provision of these Terms of Use
(2) If the Company determines that the user has engaged in any prohibited acts specified in this Agreement
(3) Failure to pay usage fees or other amounts due under this Agreement by the due date, and failure to resolve the payment delay within 7 days of our request
(4) If any unauthorized payment related to PODB is discovered
(5) In the event of any other circumstances equivalent to the foregoing
(6) If the use or registration of PODB is deemed inappropriate for any other reason
2 If the user falls under any of the following circumstances, we may terminate this User Agreement immediately upon notice to the user.
(1) If any of the circumstances described in the preceding paragraph apply
(2) If the user ceases payments or becomes unable to make payments
(3) If a petition for bankruptcy, civil rehabilitation, corporate reorganization, special liquidation, or any similar proceedings is filed against the user
(4) If a resolution or decision is made to commence dissolution or liquidation proceedings regarding the user
(5) If the user, who is a sole proprietor, dies
(6) If we determine that it is inappropriate for the user to continue using registering, or continuing this Service Agreement
3 The measures specified in the preceding two paragraphs shall not preclude us from seeking compensation for damages from the user. Furthermore, we shall not be liable for any damages or refunds arising from the implementation of the measures specified in the preceding two paragraphs.
Changes to PODB
1 We may, at our discretion, modify or add to the content of PODB within the scope that does not result in a material change to the nature of PODB.
2 Even if any measures taken by us pursuant to the preceding paragraph result in damage to users, we shall not be liable for any such damage.
Termination of PODB
1 We may terminate the provision of all or part of PODB by notifying users in advance. However, in cases of emergency or other circumstances where prior notice is difficult, we will notify users afterward.
2 If we terminate all of PODB, we will notify users at least three months prior to the termination date.
3 If users have already paid the usage fees for the period following the termination of PODB, we will refund the usage fees for such period.
4 Even if any measures taken by us pursuant to the first and second paragraphs cause any damage to users, we shall not be liable for such damage.
Damages
1 If the User violates this Terms of Use or causes damage to us or a third party due to reasons attributable to the User in connection with PODB, the User shall be liable to compensate us for all damages (including lost profits and attorneys' fees and other professional fees).
2 In the event that damage (limited to actual direct and ordinary damage, excluding lost profits, attorneys' fees, and other professional expenses) is incurred by the user due to causes attributable to us, the total amount of liability for compensation by us shall not exceed the total amount of usage fees received by us from the user in the most recent six months.
3 Notwithstanding the provisions of the preceding paragraph, we shall not be liable for any damages incurred by the user as a result of using the free version, except in cases of our intentional acts or gross negligence.
Confidentiality
The user shall strictly keep confidential all confidential information obtained from us under this Agreement and shall not disclose such information to any third party without our prior written consent, except for the purpose of
fulfilling this Agreement.
Exclusion of Anti-Social Forces
1 The Company and its users hereby confirm and guarantee that neither the Company nor its officers (including directors, executive officers, auditors, or any other individuals with equivalent authority, excluding users who are
individuals) nor its employees are affiliated with any antisocial forces, and that they do not fall under any of the following categories, nor will they do so in the future:
(1) Having a relationship where it is recognized that anti-social forces, etc., control the management
(2) Having a relationship where anti-social forces are deemed to substantially influence management
(3) Having a relationship with anti-social forces, etc., where it is recognized that such forces are being improperly utilized for the purpose of obtaining unlawful benefits for oneself, one's company, or a third party, or for the purpose of causing harm to a third party
(4) Having a relationship with anti-social forces, etc., in which it is recognized that funds or other benefits are provided to anti-social forces, etc., knowing that they are members of organized crime groups, or that other
forms of assistance are provided to them
(5) Having a relationship with anti-social forces, etc., that is socially reprehensible, where an officer or a person substantially involved in management has such a relationship
2 The Company and its users hereby undertake and guarantee that they will not engage in any of the following acts, either directly or through a third party:
(1) Violent demands
(2) Unreasonable demands exceeding legal liability
(3) Threatening or violent behavior in connection with transactions
(4) Spreading false rumors, using deceitful means, or exerting undue influence to damage the reputation of another party or interfere with their business operations
(5) Any other acts equivalent to the foregoing
3 The Company and the User may immediately terminate this User Agreement in whole or in part without any prior notice if the other party violates this Article.
4 Neither the Company nor the User shall be liable for any damages incurred by the other party as a result of termination under this Article. Furthermore, the Company and the User shall be entitled to claim compensation for any damages incurred by themselves as a result of such termination.
Changes to the Terms of Use
1 We may amend these Terms of Use in the following cases:
(1) When the amendment to these Terms of Use is in the general interest of the Users
(2) When the amendment is not contrary to the purpose of the contract and is reasonable in light of the necessity of the amendment, the reasonableness of the amended terms, and other circumstances related to the amendment
2 In the case of the preceding paragraph, we shall notify the user of the amendment to these Terms of Use, the content of the amended Terms of Use, and the effective date of the amendment at least seven days prior to the effective date of the amendment, by a method deemed appropriate by us (such as posting on our website or PODB, or sending an email to the user).
3 Users who do not agree to the changes to these Terms of Use may terminate this User Agreement by notifying us of such termination by the day before the effective date of the changes specified in the preceding paragraph. If a user does not terminate this User Agreement by the effective date and uses PODB, the user shall be deemed to have agreed to the changes to these Terms of Use.
4 In addition to the provisions of the preceding paragraph, we may amend these Terms of Use with the consent of the user.
5 We shall not be liable for any damages incurred by users as a result of changes to these Terms of Use made in accordance with this Article.
Prohibition on Assignment of Rights and Obligations
The User may not assign, transfer (including through merger or company division), pledge, or otherwise dispose of the User's status under this User Agreement or any rights or obligations arising therefrom to a third party without our prior written consent.
Regarding Logos, Symbol Marks, etc.
Regarding logos, symbols, or other marks that represent organizations or businesses, including our company and local public entities, please confirm the usage conditions with the responsible party of the relevant organization or business before using them independently.
Citation of Sources
1 When using the content, please cite the source. The source should include:
① Service name (Prepper Open Data Bank or PODB),
② Company name (truestar Co., Ltd.). An example of source citation is as follows:

If the data contained in the content was provided to us by a third party, users must comply with any separate source citation rules established by the data provider.
Regarding consultations
Any matters not specified in this Agreement or any disputes arising from the interpretation of the terms of this Agreement shall be resolved through consultation between the Company and the user.
Governing Law and Jurisdiction
1 This Agreement shall be governed by and construed in accordance with the laws of Japan.
2 Any disputes arising from the use of PODB under this Agreement or regarding this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
Other
1 This Agreement does not restrict the use of quotations, etc., as permitted under copyright law.
2 If you discover any behavior that violates these Terms of Use, please contact us at <https://podb.truestar.co.jp/contact> .
3 Information provided by users may be disclosed to our company and its affiliated companies (including but not limited to those with capital ties) for the purpose of expanding our services and conducting business activities. Please note that such disclosure will be handled in accordance with applicable laws and regulations, including the Personal Information Protection Act and the Whistleblower Protection Act.
4 These Terms and Conditions are written in Japanese, and the English translation is for reference purposes only. In the event of any discrepancy between the two languages, the Japanese version shall prevail in all respects.
